According to the resolution of our Company`s Board of Directors dated March 13, 2025 and numbered 2025/12; as per the Communiqué on Lease Certificates (III-61.1) (the |||Communiqué|||) published by the Capital Markets Board (the |||CMB|||) in the Official Gazette dated 07.06.2013 and numbered 28670 it has been resolved that, our Company (Brisa Bridgestone Sabancı Lastik Sanayi ve Ticaret A.Ş) shall be involved in the capacity of a fund user and/or an originator in the issuance of lease certificates domestically in TRY, where Katılım Varlık Kiralama A.Ş. (Katılım VKŞ) will take place as the issuer, to be sold in tenors with limitation to the issuance ceiling of TRY 5,000,000,000 (FiveBillionTurkish Liras) (this amount included) by means of sales without public offering through private placement and/or sales to qualified investors at various maturities and under various terms and conditions in the type of management agreement-based lease certificates provided for in the Communiqué within the framework of articles 4 and 6 of the Communiqué, necessary agreements regarding the issuance shall be signed, services shall be received from Vakıf Katılım Bankası A.Ş. as the financial consultant and authorised investment company in the contemplated issuance of lease certificates, necessary applications shall be filed to the Capital Markets Board and other relevant bodies, and all kinds of acts and actions that are directly and/or indirectly related to the issuance of lease certificates shall be performed, all kinds of amendments shall be made, and any two of our Company`s first group of authorised signatories shall be jointly authorised in this respect. Within this context, our application to the Capital Markets Board of Türkiye, which was made on March 28, 2025, was approved at the Board`s meeting dated May 30, 2025 and numbered 33/1000.
