Özel Durum Açıklaması (Genel)

Yönetim Kurulumuzun 03.06.2025 tarihli toplantısında; Tecim Yapı Elemanları İnşaat Servis ve Yönetim Hizmetleri San. ve Tic. Ltd. Şti. ile %50-%50 maliyet ve hasılat paylaşımı modeli ile geliştirilen Litus İstanbul projesinin bugüne kadar gerçekleşen hasılat & maliyet paylaşımı  dikkate alınarak;

Satışı henüz yapılmamış kalan 25 adet ortak mülkiyetli konuttan elde edilecek TECİM hissesine düşecek hasılat payı ile ilgili olarak 307.742.869 TL + KDV tutarında TECİM`e peşin ödeme yapılmasına ve hasılat paylaşımına ilişkin sözleşmenin sonlandırılmasına karar verilmiştir.

Bu kapsamda Nova Taşınmaz Değerleme ve Danışmanlık A.Ş. tarafından hazırlanan değerleme raporu ekte yer almaktadır.

At the Board of Directors meeting held on 03.06.2025, it was resolved that:

Taking into account the revenue and cost sharing to date for the Litus İstanbul project, which was developed jointly with Tecim Yapı Elemanları İnşaat Servis ve Yönetim Hizmetleri San. ve Tic. Ltd. Şti. with a 50%-50% cost and revenue sharing model;

A lump sum payment of TRY 307.742.869 + VAT shall be made to TECİM in relation to its share of the projected revenue from the remaining 25 jointly-owned residential units that have not yet been sold and the revenue sharing agreement shall be terminated accordingly.

In contradiction between the Turkish and English version of this public disclosure, the Turkish version shall prevail.
