Özel Durum Açıklaması (Genel)

23.01.2025 ve 04.02.2025 tarihli özel durum açıklamamızda, elektrikli araç ekosistemine yönelik stratejik yatırım fırsatlarının değerlendirilmekte olduğu kamuoyu ile paylaşılmıştı. Yapılan değerlendirmeler sonucunda, bu alanda faaliyet gösteren ve aşağıda bilgileri paylaşılan iki girişim şirketine sermaye artırım yöntemi ile yatırım yapılarak ortak olunmasına karar verilmiştir. Yapılacak yatırımın finansal detayları nihai sözleşmenin imzası sonrasında kamuoyu ile paylaşılacaktır.

Bu kapsamda:

EGaraj Elektrikli Taşıtlar Danışmanlık ve Servis Hizmetleri A.Ş (E-Garaj), elektrikli araçların bakım, onarım ve ekspertiz hizmetlerinin yanı sıra, çok markalı sıfır ve ikinci el elektrikli araçların alım-satımını gerçekleştirmektedir. Şirket, YoYo, Hattat Regis, Tazzari ve EVclinic markalarının Türkiye distribütörüdür. Özellikle EVclinic distribütörlüğü ile, elektrikli araç motorları ve batarya sistemlerinin bakım ve onarımında alanındaki liderliğini sürdürmeyi hedeflemektedir. Ayrıca Voltify, Alba e-bikes ve Actio gibi yeni nesil mobilite şirketleriyle de stratejik iş birlikleri geliştirmektedir.

E-Garaj, YoYo markasının yalnızca Türkiye distribütörlüğüne değil, aynı zamanda üretim haklarına da sahiptir. Bu kapsamda şirket, YoYo`nun Türkiye`de yerli montajı ve üretimi için çalışmalar yürütmektedir.

E-Garaj, bireysel kullanıcılarla olduğu kadar filo yönetimi yapan kurumsal müşterilere de entegre hizmetler sunmaktadır.

Pluginn Elektrikli Taşıtlar Şarj Sistemleri ve Yazılım Hizmetleri Sanayi Ticaret A.Ş.( Pluginn) ise, elektrikli araç şarj altyapısına odaklanan bir teknoloji firmasıdır. Şehir içi ve otoyol şarj çözümleri sunmakta; kurulum, bakım ve yazılım destek hizmetlerinin yanı sıra, kendi işlettiği istasyonların dışında diğer şarj ağı işletmecilerine (CPO`lara) de teknik ve operasyonel yönetim hizmeti vermektedir. Pluginn ayrıca, ZES markalı şarj cihazlarının Türkiye`deki tek distribütörüdür; bununla birlikte Vestel ve Tesla markalı şarj cihazlarının yetkili bayisi olarak donanım satış faaliyetleri de yürütmektedir.

As disclosed in our material event statements dated January 23, 2025 and February 4, 2025, strategic investment opportunities within the electric vehicle ecosystem have been under evaluation. Following these assessments, it has been decided to invest in and acquire equity stakes—through capital increases—in two startup companies operating in this field, whose details are provided below. A preliminary agreement has been reached to establish equity partnerships with both companies. The financial details of the investment will be disclosed to the public following the execution of the final agreements.

In this context:

EGaraj Elektrikli Taşıtlar Danışmanlık ve Servis Hizmetleri A.Ş. (E-Garaj) provides maintenance, repair, and inspection services for electric vehicles, as well as conducts the purchase and sale of multi-brand new and second-hand electric vehicles. The company is the exclusive distributor in Türkiye for the brands YoYo, Hattat Regis, Tazzari, and EVclinic. With the EVclinic distributorship in particular, E-Garaj aims to strengthen its leadership in the maintenance and repair of electric vehicle motors and battery systems. The company also develops strategic partnerships with next-generation mobility companies such as Voltify, Alba e-bikes, and Actio.

In addition to holding the Türkiye distributorship rights for the YoYo brand, E-Garaj also owns the production rights. Within this scope, the company is carrying out activities for the local assembly and production of YoYo vehicles in Türkiye.

E-Garaj provides integrated services not only to individual users but also to corporate clients engaged in fleet management.

Pluginn Elektrikli Taşıtlar Şarj Sistemleri ve Yazılım Hizmetleri Sanayi Ticaret A.Ş. (Pluginn) is a technology company focused on electric vehicle charging infrastructure. It provides urban and highway charging solutions, including installation, maintenance, and software support services. In addition to operating its own charging stations, Pluginn also offers technical and operational management services to other charging point operators (CPOs). The company is the exclusive distributor in Türkiye of ZES-branded charging devices and is an authorized dealer for Vestel and Tesla charging equipment.

This investment aligns with our company`s growth strategy in the field of climate technologies and aims to contribute to the development of the electric mobility ecosystem in Türkiye.

The financial details of the investment will be disclosed to the public following the signing of the final agreements.
