On April 24, 2025, an application was made to the Banking Regulation and Supervision Agency (BRSA) to submit the partial spinoff process to the general assemblies of the relevant banks along with the Spin-off Agreement, signed for the purpose of transferring the banking services of |||enpara.com,||| operating under QNB Bank A.Ş., to Enpara Bank A.Ş. through partial spin-off, in addition the Opinion of Expert Institution, and other appendices.
With reference to the letter of June 20, 2025, with no.157914 by the Banking Regulation and Supervision Board, it was approved to submit the partial spinoff agreement and its appendices for approval at the General Assemblies of QNB Bank A.Ş. and Enpara Bank A.Ş.
On the other hand, the application for the partial spin-off made to the Capital Markets Board remains to be an ongoing process. In accordance with Article 8/2 of the Communiqué II-23.2 on Mergers and Divisions, we kindly inform our shareholders and the public that all required information and documents, including the Partial Spin-off Agreement, shall be submitted for information of our shareholders on the Public Disclosure Platform and our Bank`s website at least 30 days prior to the date of the General Assembly, to convene for approving such partial spin-off.
Taking the necessary measures to protect the confidentiality of the aforementioned insider information, this statement was postponed within the scope of Article 6 of the Communiqué II-15.1 on Material Events of the Capital Markets Board in order to prevent misleading the public and protect the legitimate interests of our shareholders. However, such information is being disclosed publicly considering that the aforementioned reasons for such postponement are eliminated by the notification by the Banking Regulation and Supervision Agency, in which approval is granted for submitting the partial spin-off agreement for approval at the General Assemblies of the banks as the parties of the agreement (QNB Bank A.Ş. and Enpara Bank A.Ş.).
