As disclosed on April 18, 2025, it was announced to the public that our Company had decided to invest in the production of a new light vehicle model, with an annual production capacity of 150,000 units including the complete knocked down units for export, to be manufactured in Turkey as of the third quarter of 2026 on a multi-energy platform for Stellantis brands (Fiat, Opel, Citroën, and Peugeot); and that, in this context contract negotiations with Stellantis Group regarding the project details and terms were initiated.
Within the scope of this announcement, our Company has signed a manufacturing agreement (|||Manufacturing Agreement|||) with Stellantis Europe S.P.A granting us the right to produce and distribute in Turkey the |||K9|||`s light commercial vehicle and |||Combi||| versions in multi-energy platforms for Stellantis brands (FIAT, Opel, Citroën, Peugeot) and determining the conditions regarding the sale of the vehicles and the spare parts.
In accordance with the Manufacturing Agreement, the project—which is planned to be implemented by the end of the third quarter of 2026 with an investment of up to 256 million Euros —will have an annual production capacity of 150,000 units, including completely knocked down (CKD) vehicles.
Following the completion of the investment activities under the scope of the project, approximately 660,000 vehicles—excluding CKD units—are targeted to be produced until the last quarter of 2034, with approximately 80% of the production allocated to the Turkish market.
In accordance with the Capital Markets Board`s Corporate Governance Communiqué II-17.1 (|||Communiqué|||), since the amount of common and continuous transactions to be conducted under the Manufacturing Agreement is anticipated to exceed 10% of the annual revenue disclosed in the latest financial statements for sales transactions and 10% of the cost of sales for purchase transactions within a fiscal period, in addition to the reports on common and continuous transactions approved by the Board of Directors on February 28, 2025 and April 30, 2025 an additional report will be disclosed. This report will provide information on the terms of the transactions to be carried out under the Manufacturing Agreement and their comparison with market conditions.
